Terms & Conditions

These Terms & Conditions (“Terms”) govern the use of the Aromastar website and the provision of services by Aromastar Digital Marketing Agency (“Aromastar”, “we”, “us”, “our”) to any client (“you”, “client”). By enquiring about, booking, or paying for any service, you agree to be bound by these Terms.
1. Our Services
Aromastar provides digital marketing and web solutions, including but not limited to:
- Monthly Retainer Packages — Starter, Growth, and Premium (social media management, SEO, Meta/Google Ads, content, and reporting).
- Website & Landing Page Design.
- SEO Audits, SEO Setup, and Keyword Research.
- Meta Ads and Google Ads Setup & Management.
- Branding & Creative — logo design, social media creatives, business cards, ad creatives.
- Content Services — blog writing, email marketing, promotional videos, reel editing.
- Google Business Profile, Instagram, Facebook, and YouTube channel setup.
Exact scope, deliverables, and pricing for each project are confirmed in writing (via email, WhatsApp, or an invoice/quotation) before work begins.
2. Project Confirmation
A project or service is considered confirmed only once both parties have agreed on the scope of work, pricing, and estimated timeline, and Aromastar has received the required advance payment as set out below.
3. Payment Terms
For one-time / project-based services (e.g. website design, logo design, SEO setup, ad campaign setup), the 50% advance secures your project slot and covers initial planning, strategy, and resource allocation. For Monthly Retainer Packages, the applicable monthly fee is billed in advance for each service month; see Section 5 for retainer-specific terms.
All prices listed on our website are indicative ranges (“Starting From”) and the final quotation depends on the specific scope, complexity, and deliverables agreed with the client in writing.
4. Retainer Commitment & Renewal
Monthly Retainer Packages (Starter, Growth, Premium) require a minimum commitment period of 3 months from the start date, to allow sufficient time for strategy, execution, and measurable results. After the minimum 3-month period, the retainer continues on a month-to-month basis and either party may cancel it by providing 30 days' written notice, as detailed in our Cancellation Policy. Monthly fees already paid for a service month that has commenced are non-refundable, in line with Section 4 of our Cancellation Policy.
5. Client Responsibilities
To deliver services on schedule, clients agree to:
- Provide accurate business information, brand assets, content, and approvals in a timely manner.
- Respond to review or feedback requests within a reasonable time (delays on the client's part may extend the project timeline).
- Provide necessary access credentials (e.g. domain, hosting, Google Business Profile, ad accounts) where required for the project.
- Ensure any content, images, or trademarks provided to us do not infringe on third-party rights.
6. Access & Credentials
Aromastar may request temporary access to client accounts such as email, hosting, domain registrar, Google Business Profile, or advertising accounts strictly for project-related setup, execution, and reporting. Such access is treated as confidential, used only for the agreed scope of work, and is not shared with unrelated third parties.
7. Revisions & Scope Changes
A reasonable number of revisions are included within each project or retainer scope, as specified in the relevant quotation. Requests that fall outside the originally agreed scope (additional pages, extra ad campaigns, new creative concepts, etc.) will be treated as separate work and may involve additional charges, communicated and agreed before proceeding.
8. Timelines & Delays
Estimated delivery timelines are communicated at the start of each project. Aromastar will make reasonable efforts to meet agreed timelines; however, delays caused by late feedback, delayed content/approvals from the client, third-party platform issues, or factors outside our reasonable control will extend the delivery timeline accordingly and will not be treated as a breach of these Terms.
9. Advertising Spend & Third-Party Platforms
Where a project includes paid advertising (Meta Ads, Google Ads, etc.), our service fee covers strategy, setup, and management only. Any advertising/media spend paid directly to Meta, Google, or other ad platforms is separate from our fees and is the client's responsibility. Aromastar does not control, and is not responsible for, the policies, approval processes, or performance fluctuations of third-party platforms (Google, Meta, hosting providers, domain registrars, payment gateways, WhatsApp, etc.).
10. Intellectual Property & Marketing Use
All original content, logos, and business information provided by the client remain the client's property. Upon full and final payment, ownership of the specific deliverables created for the client (e.g. final website files, designs) transfers to the client, excluding any third-party licensed assets (stock photos, fonts, plugins) which remain subject to their respective licenses.
Aromastar reserves the right to feature completed projects (public-facing screenshots, campaign highlights, or results) in our portfolio, website, social media, and marketing materials for promotional purposes, without requiring further permission. We will never share private, confidential, or backend information — only public-facing outcomes are showcased.
11. Confidentiality
Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the course of the engagement, and to use it solely for the purpose of delivering or receiving the agreed services.
12. Results Disclaimer
Aromastar uses industry best practices for SEO, advertising, and social media management; however, we do not guarantee specific rankings, traffic, lead volume, sales figures, or return on ad spend, as these depend on factors including market competition, platform algorithm changes, budget, and client-side execution (e.g. sales follow-up) that are outside our control.
13. Limitation of Liability
Aromastar shall not be held liable for indirect or consequential business losses, third-party platform downtime or policy changes, hosting or domain issues outside our management, or security issues arising from client-side credentials after project handover. Our total liability for any claim relating to a service shall not exceed the amount paid by the client for that specific service.
14. Termination
Aromastar reserves the right to pause or discontinue work on a project if payment is not received as per the agreed schedule, or if a client is unresponsive for an extended period, without this being treated as a breach on our part. Any amounts already paid remain non-refundable as set out in our Cancellation Policy.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Navi Mumbai, Maharashtra.
16. Changes to These Terms
Aromastar reserves the right to update or modify these Terms & Conditions at any time. The revised Terms will be posted on this page with an updated effective date, and continued use of our services after such changes constitutes acceptance of the updated Terms.
17. Force Majeure
Aromastar shall not be liable for delays caused by events beyond its reasonable control including natural disasters, government actions, internet outages, cyber incidents, pandemics, strikes, power failures, or third-party service failures. Timelines will be extended accordingly.
18. Website Maintenance & Support
Unless included in a written maintenance agreement, updates, bug fixes, security patches, backups, content edits and ongoing support after project delivery are chargeable separately.
19. Domain, Hosting & Third-Party Services
Unless purchased and managed by Aromastar, domain names, hosting, SSL, email hosting, plugins and subscriptions remain the client's responsibility.
20. SEO Disclaimer
SEO rankings, traffic, leads, conversions and ROI cannot be guaranteed due to algorithm updates, competition and other external factors.
21. Late Payments
Payments overdue by more than 7 days may result in suspension of services until dues are cleared.
22. Data Backup
After project handover, clients are responsible for maintaining website and business data backups unless covered under a maintenance plan.
23. Electronic Communication
Email and WhatsApp approvals shall be treated as valid written communication.
24. Client Delay Clause
If the client fails to provide required content, approvals or feedback for more than 30 days, the project may be considered inactive. Resuming the project may require a restart fee and revised timelines.
25. Warranty Period
Website bugs reported within 7 days of delivery will be fixed free of cost if they relate to the agreed scope. Issues caused by hosting, plugins, third parties or client modifications are excluded.
26. Website Performance Disclaimer
Website loading speed, Core Web Vitals, uptime and performance depend upon hosting provider, internet conditions, third-party integrations and client-side modifications.
27. Browser Compatibility
Websites are tested on modern versions of Chrome, Edge, Firefox and Safari. Compatibility with outdated browsers cannot be guaranteed.
28. Passwords & Access
Clients are responsible for maintaining secure passwords after project handover. Aromastar shall not be liable for unauthorized access caused by weak passwords or sharing credentials.
29. Content Legality
Clients confirm they own or have permission to use all logos, images, videos, trademarks and other content supplied to Aromastar. The client agrees to indemnify Aromastar against any copyright or trademark claims arising from such content.
30. Google & Meta Account Suspension
Aromastar is not responsible if Google, Meta, Instagram, Facebook, YouTube or any third-party platform suspends, rejects or restricts an account due to policy violations or algorithm changes.
31. Lead & Sales Disclaimer
We do not guarantee enquiries, sales, revenue, conversions or business growth.
32. Maintenance Plan
Unless specifically agreed in writing, maintenance is not included after project delivery.
33. Emergency Support
Support outside normal business hours may attract additional charges.
34. Indemnification Clause
The client agrees to indemnify and hold Aromastar harmless from claims, damages or expenses arising from content, materials or instructions supplied by the client.
35. Dispute Resolution
Both parties agree to first attempt to resolve disputes through good-faith discussions before initiating legal proceedings.
